Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and [Company Name] S.R.L., a company registered in Romania, operating as Talentika ("Company", "we", "our", "us").

By accessing or using the Talentika platform at talentika.ai (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not access or use the Service.

Talentika provides an AI-powered Applicant Tracking System (ATS) that includes:

• AI Video Interviews — Automated asynchronous video interview technology with AI-assisted evaluation
• CV Parsing — Intelligent resume parsing and candidate profile extraction in multiple languages
• Candidate Management — Full applicant tracking, pipeline management, and collaboration tools
• Analytics Dashboard — Recruiting metrics, hiring funnel insights, and performance reporting
• Career Page Builder — Branded career pages with job listings and application forms
• Integrations — Connections with job boards (eJobs, Profession.bg) and third-party services

The Service is provided on a subscription basis. We reserve the right to modify, update, or discontinue features with reasonable notice. Continued use after changes constitutes acceptance of modifications.

3.1 Registration

You must provide accurate, current, and complete information during registration. You agree to update this information promptly if it changes.

3.2 Company Accounts

Only authorized representatives may create company accounts. By creating an account on behalf of a company, you represent that you have the authority to bind the organization to these Terms.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@talentika.ai if you suspect unauthorized access.

3.4 Team Management

Account administrators are responsible for managing team member access, roles, and permissions within their organization's account.

4.1 Plans

The Service is available in multiple subscription tiers: Starter (free), Pro, Business, and Enterprise. Features and limits vary by plan as described on our pricing page.

4.2 Billing

Paid subscriptions are billed monthly or annually in advance, depending on your selected billing cycle. Subscriptions renew automatically unless cancelled before the renewal date.

4.3 Payment Processing

Payments are processed securely through Stripe. We do not store your full payment card details on our servers. You are responsible for any applicable taxes.

4.4 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be refunded within 30 days of purchase if you are not satisfied with the Service. Refund requests should be sent to billing@talentika.ai.

4.5 Failed Payments

If a payment fails, we will attempt to process it again and notify you. Service access may be suspended after 14 days of non-payment.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Discriminate against candidates based on protected characteristics
• Upload malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for competitive intelligence against Talentika
• Bypass rate limits, security features, or authentication mechanisms
• Scrape, harvest, or collect data from the Service through automated means
• Share account credentials with unauthorized parties

Violation of these provisions may result in immediate suspension or termination of your account without refund.

6.1 Talentika IP

The Service, including all software, designs, algorithms, documentation, trademarks, and content created by Talentika, is the exclusive intellectual property of [Company Name] S.R.L. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms and your subscription plan.

6.2 Your Data

You retain full ownership of all data you upload to the Service, including candidate information, job postings, and company content. By uploading content, you grant us a limited license to process it as necessary to provide the Service.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you. You are not required to provide feedback.

7.1 AI-Assisted Recommendations

The Service uses artificial intelligence to assist with candidate screening, CV parsing, interview evaluation, and matching. AI outputs are recommendations only and should not be the sole basis for hiring decisions.

7.2 Accuracy Disclaimer

While we strive for high accuracy, AI systems are not infallible. We do not guarantee the accuracy, completeness, or reliability of AI-generated assessments. You are responsible for reviewing and validating AI recommendations before making hiring decisions.

7.3 Human Oversight Requirement

You agree to maintain meaningful human oversight of all AI-assisted hiring processes. Final hiring decisions must involve human judgment. You must inform candidates when AI is used in their evaluation process.

7.4 EU AI Act

Our AI systems comply with the EU AI Act (Regulation 2024/1689) requirements for high-risk AI systems used in employment and recruitment. You must also comply with your obligations under the Act as a deployer of high-risk AI systems.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect personal data.

For business and enterprise customers, processing of personal data is governed by our Data Processing Agreement (DPA), which forms part of these Terms. The DPA establishes the respective obligations of data controller (you) and data processor (Talentika) under GDPR.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from candidates and facilitating data subject rights requests.

9.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation

To the maximum extent permitted by law, Talentika's total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the total fees you paid to Talentika in the 12 months preceding the claim.

9.3 Exclusions

In no event shall Talentika be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will retain access until then.

10.2 By Talentika

We may suspend or terminate your account immediately if you materially breach these Terms, engage in prohibited activities, fail to pay fees, or if required by law.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. After this period, we will delete your data in accordance with our Privacy Policy and DPA obligations.

10.4 Survival

Provisions regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Bucharest, Romania. This does not affect your rights as a consumer under applicable EU consumer protection regulations.

Where applicable, EU regulations (including GDPR and the EU AI Act) shall take precedence over conflicting provisions in these Terms.
